1. Introduction and Acceptance

1.1 Agreement to Terms

Welcome to OmicsLogic. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and OmicsLogic ("we," "us," "our," "Company") governing your access to and use of our websites, platforms, applications, courses, workshops, tracks, training programs, research program, data analysis services, and related services (collectively, the "Services").

1.2 Acceptance

By accessing, browsing, registering for, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree to these Terms, you must not access or use the Services.

1.3 Age and Capacity

You must be at least 13 years of age to use the Services. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that you have obtained parental or guardian consent to use the Services. Users under 18 may be subject to additional restrictions. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1.4 Additional Terms

Certain Services may be subject to additional terms, conditions, or policies ("Additional Terms") that will be presented to you at the time of use. In the event of a conflict between these Terms and Additional Terms, the Additional Terms will control for that specific Service.

2. Definitions

"Account" means your registered user account on the OmicsLogic platform.

"Content" means text, graphics, images, software, audio, video, data, code, datasets, analyses, and other materials available through the Services.

"Course Materials" means all educational content, lectures, videos, presentations, exercises, assignments, datasets, code repositories, documentation, and assessments provided as part of our training programs.

"User Content" means any content, data, datasets, files, code, projects, comments, feedback, or other materials that you upload, submit, post, or transmit through the Services.

"Sensitive Scientific Data" means biological, genomic, proteomic, metabolomic, health-related, or other potentially sensitive research data uploaded or processed through the Services.

"Organizational Account" means an enterprise, institutional, or group account managed by an organization for its members, employees, or students.

3. Services Overview

3.1 Educational Services

OmicsLogic provides comprehensive bioinformatics and data science education across multiple omics domains, including but not limited to:

  • Genomics and transcriptomics (bulk and single-cell RNA-Seq)

  • Metagenomics and microbiome analysis

  • Proteomics and metabolomics

  • Epigenomics and cheminformatics

  • Machine learning and deep learning applications in omics

  • Statistical analysis and pathway analysis

  • Precision medicine and specialized research tracks

3.2 Research and Analysis Services

We may offer custom data analysis, consultation, collaborative research support, and computational services. Such services are typically governed by separate service agreements.

3.3 Platform and Tools

We provide access to computational platforms, analysis tools, software libraries, datasets, code repositories, and documentation to support learning and research activities.

3.4 Service Availability

While we strive to provide uninterrupted access, the Services are provided on an "as available" basis. We do not guarantee that the Services will be available at all times or error-free. We reserve the right to modify, suspend, or discontinue any part of the Services (temporarily or permanently) with or without notice.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Services, you must create an Account by providing accurate, current, and complete information, including your name, email address, organization affiliation, and other required details. You agree to update your information promptly if it changes.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials (username and password)

  • All activities that occur under your Account

  • Notifying us immediately of any unauthorized access or security breach

You agree not to share your account credentials with others or allow others to access your Account. We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Accuracy

You represent and warrant that all information provided during registration and thereafter is truthful, accurate, current, and complete. Providing false or misleading information may result in account suspension or termination.

4.4 One Account Per User

Each user may maintain only one personal Account. Creating multiple accounts for fraudulent purposes or to circumvent restrictions is prohibited.

4.5 Account Deletion and Data Irretrievability

If you choose to delete your OmicsLogic account, all associated personal information, uploaded data, and user-generated content linked to your account will be permanently deleted from our active systems. Once deletion is complete, your account and its data cannot be restored or retrieved under any circumstances. OmicsLogic is not responsible for any loss of content, project outputs, or records resulting from account deletion. We recommend you download or back up any important materials before initiating deletion.

5. Access and Use of Services

5.1 License Grant

Subject to your compliance with these Terms, OmicsLogic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, educational, or internal research purposes.

5.2 Restrictions

You agree NOT to:

  • Use the Services for any unlawful, fraudulent, or unauthorized purpose

  • Violate any applicable laws, regulations, or third-party rights

  • Access or attempt to access any part of the Services to which you do not have authorization

  • Interfere with or disrupt the integrity, security, or performance of the Services

  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services

  • Use automated systems (bots, scrapers, crawlers) to access the Services without our written permission

  • Remove, obscure, or alter any proprietary notices (copyright, trademark) on the Services

  • Resell, sublicense, rent, lease, or commercially exploit the Services without authorization

  • Use the Services to develop competing products or services

  • Impersonate any person or entity or misrepresent your affiliation

  • Transmit viruses, malware, or any harmful code

5.3 Usage Monitoring

We reserve the right to monitor your use of the Services to ensure compliance with these Terms and to protect the security and integrity of the Services.

6. User Responsibilities and Acceptable Use

6.1 Professional and Ethical Conduct

You agree to use the Services in a professional, ethical, and responsible manner consistent with accepted scientific and research practices. You will:

  • Respect data privacy and confidentiality obligations

  • Properly cite sources and acknowledge collaborators

  • Avoid academic dishonesty, plagiarism, or misrepresentation of results

  • Follow best practices for data security and responsible research

6.2 Prohibited Content and Activities

You must not upload, post, transmit, or share through the Services any content or engage in any activity that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

  • Infringes any intellectual property, privacy, publicity, or other rights of any party

  • Contains malware, viruses, or malicious code

  • Promotes discrimination, hatred, violence, or harm against individuals or groups

  • Violates export control laws or facilitates illegal activities

  • Compromises patient confidentiality or violates healthcare regulations (e.g., HIPAA, GDPR).

  • Misrepresents or fraudulently uses identifiable human subject data without proper consent

6.3 Research Integrity

If you conduct research using the Services, you agree to:

  • Obtain all necessary ethics approvals and institutional permissions

  • Comply with all applicable research regulations and guidelines

  • Ensure informed consent is obtained where required

  • Properly anonymize or de-identify human subject data as required by law

  • Report research findings honestly and accurately

6.4 Consequences of Violation

Violation of acceptable use provisions may result in immediate suspension or termination of your Account, removal of your content, reporting to relevant authorities, and potential legal action.

7. Intellectual Property Rights

7.1 OmicsLogic Ownership

All Content provided by OmicsLogic, including but not limited to Course Materials, text, graphics, logos, icons, images, audio clips, video clips, software, social media posts, captions, visual designs, illustrations, animations, data compilations, platform design, and user interfaces (collectively, "OmicsLogic Content"), is the exclusive property of OmicsLogic or its licensors and is protected by intellectual property laws including copyright, trademark, patent, and trade secret laws.

7.2 Course Materials

All Course Materials, including lectures, videos, presentations, code examples, datasets provided for educational purposes, documentation, and assessments, are proprietary to OmicsLogic or licensed to us. Your license to use Course Materials is limited to personal educational use only.

7.3 Restrictions on Course Materials

You may NOT:

  • Redistribute, republish, retransmit, sell, rent, lease, or sublicense Course Materials

  • Make Course Materials available on file-sharing platforms or public repositories

  • Use Course Materials to create derivative educational products or competing courses

  • Remove watermarks, copyright notices, or other proprietary markings

  • Share access credentials to allow unauthorized persons to access Course Materials

7.4 Permitted Educational Use

You may download and retain Course Materials for personal, non-commercial educational and reference purposes. You may share limited excerpts for academic discussion with proper attribution, consistent with fair use principles.

7.5 Open Source and Third-Party Content

Some software, libraries, tools, and datasets provided through the Services may be subject to open-source licenses or third-party terms. Where applicable, we will identify such materials and their respective licenses. Your use of such materials is governed by their specific license terms.

7.6 Trademarks

"OmicsLogic" and associated logos, service marks, and trade names are trademarks of OmicsLogic. You may not use our trademarks without our prior written consent.

8. User-Generated Content and Data

8.1 Ownership of User Content

You retain all ownership rights to your User Content. However, by uploading, submitting, or posting User Content through the Services, you grant OmicsLogic a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content solely for the purposes of:

  • Providing, operating, maintaining, and improving the Services

  • Providing support and responding to your requests

  • Generating aggregated, anonymized analytics and insights

  • Complying with legal obligations

8.2 Representations and Warranties

By submitting User Content, you represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to submit the User Content

  • Your User Content does not infringe any third-party intellectual property, privacy, or other rights

  • Your User Content complies with these Terms and all applicable laws

  • You have obtained all necessary consents and approvals for any identifiable human subject data

  • Your User Content does not contain confidential information you are not authorized to disclose

8.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences of posting or publishing it. OmicsLogic does not endorse, control, or assume responsibility for any User Content. We reserve the right (but have no obligation) to monitor, review, edit, or remove User Content that violates these Terms or is otherwise objectionable, without notice.

8.4 Feedback and Suggestions

If you provide feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you grant OmicsLogic an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Services without any obligation to you.

8.5 Content Backup

While we implement backup procedures, you are responsible for maintaining your own backup copies of your User Content. We are not responsible for any loss, corruption, or deletion of User Content.

9. Bioinformatics and Sensitive Data Handling

9.1 Nature of Sensitive Scientific Data

OmicsLogic Services are designed to work with biological and omics datasets, including genomic sequences, proteomic profiles, metabolomic data, clinical correlations, and other potentially sensitive research data. Such data may be subject to heightened regulatory and ethical obligations.

9.2 User Responsibilities for Sensitive Data

When uploading or processing Sensitive Scientific Data, you are responsible for:

  • Ensuring you have legal authority and all necessary permissions to use and share the data

  • Obtaining appropriate ethics committee approvals (IRB, ethics board)

  • Securing informed consent from human subjects where required

  • Properly de-identifying or anonymizing data according to applicable standards (HIPAA, GDPR, etc.)

  • Complying with all data protection, privacy, and research regulations in your jurisdiction

  • Implementing appropriate security measures before uploading

  • Classifying and handling data according to your institutional data governance policies

9.3 OmicsLogic's Role

When processing Sensitive Scientific Data on your behalf:

  • We act as a data processor under applicable data protection laws

  • We implement enhanced security controls and access restrictions for sensitive datasets

  • We process such data only according to your documented instructions and applicable contracts

  • We do not use identifiable sensitive data for our own purposes (marketing, product improvement) without explicit permission

  • We maintain audit trails and logging for sensitive data access

9.4 Data Processing Addendum

For customers processing Sensitive Scientific Data, we provide a Data Processing Addendum (DPA) that governs the processing, security, retention, and deletion of such data. Organizational customers should execute a DPA before uploading sensitive datasets.

9.5 No Medical or Clinical Services

OmicsLogic Services are for research and educational purposes only. We do not provide medical advice, clinical diagnostic services, or healthcare services. Results from analyses performed on the platform should not be used for clinical decision-making without appropriate validation and regulatory approval.

9.6 Export Control Compliance

Certain bioinformatics tools, algorithms, and datasets may be subject to export control regulations. You agree to comply with all applicable export control laws when using the Services.

10. Payment Terms and Billing

10.1 Fees

Certain Services require payment of fees. All fees are stated in U.S. Dollars (USD), Indian Rupee & Nigerian Naira (NGN) unless otherwise specified. Fees are exclusive of all taxes, duties, and levies imposed by taxing authorities, and you are responsible for payment of such taxes (excluding taxes based on OmicsLogic's income).

10.2 Pricing

We reserve the right to change our pricing at any time. Price changes will not affect active subscriptions or courses already purchased until renewal, unless required by law. We will provide reasonable notice of material price changes.

10.3 Payment Methods

We accept payment through various methods, including credit cards, debit cards, bank transfers, and third-party payment processors. By providing payment information, you represent that you are authorized to use the designated payment method.

10.4 Billing and Invoicing

  • One-Time Purchases: Payment is due at the time of purchase.

  • Subscriptions: Subscription fees are billed in advance on a recurring basis (monthly, quarterly, annually) depending on your selected plan. Your subscription automatically renews unless you cancel before the renewal date.

  • Organizational Accounts: Enterprise and institutional customers may be invoiced in accordance with their service agreement.

10.5 Payment Failure

If payment fails or is declined, we may suspend or restrict access to the Services until payment is received. You remain responsible for any uncollected amounts. We may charge late fees or interest on overdue amounts as permitted by law.

10.6 Currency and Conversion

For international customers paying in currencies other than USD, amounts will be converted at the exchange rate determined by your payment provider. You are responsible for any currency conversion fees.

11. Refunds and Cancellations

11.1 Course Purchase Refunds

We offer a refund policy for individual course purchases, subject to the following conditions:

  • 30-Day Money-Back Guarantee: Refund requests must be made within 30 days of enrollment. Eligibility for a refund is limited to learners who have completed less than 30% of the course content. In such cases, OmicsLogic will provide a partial refund of 50% of the total fees paid. Refunds will not be granted under any other circumstances.

  • After 30 Days: Refunds are generally not available after 30 days or if you have completed more than 30% of the course, except at our sole discretion or as required by law.

  • Refund Exceptions: Refunds are not available for promotional or discounted courses (unless required by law), enterprise subscriptions, or custom services.

11.2 Subscription Cancellations

  • You may cancel your subscription at any time through your Account settings.

  • Upon cancellation, access to all content and services will be revoked immediately. To avoid renewal charges, participants must cancel at least 2–3 days before the end of the current billing period.

  • If you cancel, your subscription will not automatically renew at the end of the current billing cycle.

11.3 Refund Process

To request a refund, contact our support team at support@omicslogic.com with your order details and the reason for the refund. Approved refunds will be processed within 7-14 business days to the original payment method.

11.4 OmicsLogic's Right to Terminate

We reserve the right to suspend or terminate your access to paid Services for cause (violation of these Terms, fraudulent activity, etc.) without refund.

12. Course Enrollment and Completion

12.1 Enrollment

Upon successful payment and enrollment, you will receive access to the course materials according to the course schedule and format (self-paced, instructor-led, cohort-based).

12.2 Course Access Period

  • Self-Paced Courses: Unless otherwise specified, you will have access to self-paced course materials for a 30 days period from date of enrollment or  the duration specified in the course description.

  • Instructor-Led Courses: Access to instructor-led or cohort-based courses is available for the duration of the course schedule and for a limited period thereafter, as specified.

  • Lifetime Access: Some courses offer lifetime access, meaning access as long as the course remains on the platform. We reserve the right to retire courses with reasonable notice.

12.3 Course Modifications

We reserve the right to update, modify, or discontinue courses, including changing instructors, content, structure, or delivery methods. We will use reasonable efforts to notify enrolled students of material changes.

12.4 Certificates of Completion

Upon successful completion of a course and meeting all assessment requirements, you may receive a certificate of completion. Certificates are digital documents and are provided for personal educational purposes. OmicsLogic does not guarantee that employers, educational institutions, or other third parties will recognize or accept certificates.

12.5 Academic Integrity

You agree to complete all coursework and assessments individually and honestly. Cheating, plagiarism, submitting work that is not your own, or circumventing assessment mechanisms is prohibited and may result in course failure, certificate revocation, and account termination.

12.6 Course Prerequisites

Some courses may have prerequisites or recommended prior knowledge. You are responsible for ensuring you meet prerequisites before enrolling. Inability to complete a course due to a lack of prerequisite knowledge does not entitle you to a refund outside our stated refund policy.

13. Program/Workshop Access, Pause, and 

13.1 Program Access Duration

Participants enrolled in a training program are granted access to learning resources and support for a fixed duration based on their enrollment level:

  • Beginner Level: 30 days

  • Intermediate Level: 60 days

  • Advanced Level: 90 days

Access to workshop content or the learning platform is valid for 30 days, unless explicitly stated otherwise.

13.2 Pause Policy

Participants may request a temporary pause in program access under the following conditions:

  • A one-time free pause of up to 7 days is available for all training program enrollments.

  • Any pause requested beyond the free 7-day period will incur a pause fee as follows:

    • Beginner Level: INR 1,000 / USD 20 (up to 15 days)

    • Intermediate Level: INR 1,000 / USD 20 (up to 20 days)

    • Advanced Level: INR 1,500 / USD 30 (up to 30 days)

Pause requests exceeding the above limits may be subject to a maintenance fee, which will be communicated at the time of request.
Pause requests are not applicable to workshops.

13.3 Extension Policy

Participants who require additional access time beyond their original program duration may request an extension, subject to the following terms:

  • Training Programs: A one-time 7-day extension at no additional cost is available for all levels.

  • Workshops: A 30-day extension may be purchased for INR 500 / USD 10.

Any extension beyond the free or standard extension period will require payment of a Top-Up Fee, the details of which will be shared upon request.

13.4 Program Continuity

  • Approved pause and extension periods do not reduce the original program access duration.

  • Program access will resume from the point of suspension once the pause period ends or access is reactivated.

  • All pause or extension requests must be submitted through the official support channel at support@omicslogic.com.

13.5 General Conditions

  • Pause and extension requests must be made within the active validity period of the enrolled program.

  • Program content or features available during an extension period may vary if updates or revisions are introduced.

  • OmicsLogic reserves the right to decline requests in cases of misuse or non-compliance with program policies.

13.6 Policy Modifications

OmicsLogic reserves the right to amend access durations, pause and extension policies, applicable fees, or program structure at its discretion, with prior notice where applicable.

14. Research Program

OmicsLogic also offers a structured Research Program. By enrolling in this program, you (“Participant”) agree to abide by the following Terms and Conditions. These Terms govern your participation, responsibilities, and rights as part of the program operated by OmicsLogic.

14.1 Definitions

  • Participant: Any individual accepted into the Research Program.

  • Program: The OmicsLogic Research Program, including mentorship, training, independent project work, and all associated resources.

  • Mentor: The advisor assigned by OmicsLogic to guide the Participant through their research project.

  • Materials: Educational content, datasets, platforms, software tools, and resources provided to the Participant during the Program.

  • Deliverables: Project plans, code, reports, presentations, or any output submitted by the Participant during or after the program.

14.2 Eligibility & Enrollment

  • Participants must meet program prerequisites, including minimum technical or academic requirements, as outlined during registration.

  • Enrollment is confirmed only after payment of applicable fees.

  • OmicsLogic reserves the right to reject applications that do not meet eligibility standards.

14.3 Program Scope & Structure

  • The Program includes structured mentorship, access to bioinformatics platforms, weekly progress check-ins, and guidance on independent and group research projects.

  • Participants must follow the project plan developed with their mentor and adhere to agreed timelines.

  • Any deviation from the agreed project scope requires prior approval from OmicsLogic.


14.4 Participant Responsibilities

  • Maintain active participation throughout the Program duration.

  • Submit deliverables (assignments, milestones, reports) by the specified deadlines.

  • Attend scheduled sessions and communicate promptly regarding any issues that may affect participation.

14.5 Program Pause & Rescheduling Policy

  • Program Pause: Participants may request to pause their participation once during the Program for a maximum of 7 calendar days. Requests exceeding this period will not be approved unless exceptional circumstances are demonstrated and verified. Extra charges will incur for pausing the program for longer durations.

  • Rescheduling: Rescheduling of sessions is only permitted in cases of genuine emergencies (e.g., medical issues, family emergencies). Requests must be submitted to the mentor or program coordinator at least 24 hours in advance.

  • Failure to comply with these policies may result in missed sessions or forfeiture of certain program benefits without refunds.

14.6 Intellectual Property (IP)

  • Shared Rights: OmicsLogic retains a non-exclusive, royalty-free license to use anonymized data, code snippets, or project summaries for educational, research, and promotional purposes.

  • Pre-existing Materials: Any materials shared by OmicsLogic remain the intellectual property of the Provider and cannot be used outside the Program without prior consent.

14.7 Confidentiality

  • Participants agree to keep all proprietary or sensitive information shared during the Program confidential.

  • Confidential information includes proprietary datasets, unpublished methodologies, and any internal communications marked as confidential.

  • Confidentiality obligations remain in effect after the completion or termination of the Program.

14.8 Data Use & Privacy

  • Personal data collected during enrollment and participation will be processed in compliance with Omics Logic’s Privacy Policy.

  • OmicsLogic is not responsible for unauthorized sharing or misuse of data by participants.

14.9 Mentorship & Support

  • Mentors will provide participants with structured guidance, feedback, and resources to help them progress with their research.

  • Response times for mentor queries will generally be within 2 business days.

  • Participants must respect mentors’ time and maintain professional communication at all times.

14.10 Publications & Acknowledgements

  • Research outputs developed during the Program can be published by the Participant, provided proper acknowledgement is given to OmicsLogic and affiliated mentors.

  • Joint publications may require co-authorship or acknowledgement based on the level of contribution by mentors or OmicsLogic staff.

  • Please note that not all projects completed under the OmicsLogic Research Program are intended for publication. Only projects that demonstrate novel insights, significant findings, or high scientific merit will be considered for publication or submission to an academic journal

14.11 Fees, Payments, and Refunds

  • Refunds will not be provided for voluntary withdrawal after the Program has begun.

  • Exceptions to the refund policy will be considered only in exceptional documented circumstances.

14.12 Termination of Participation

  • OmicsLogic reserves the right to terminate a participant’s access due to:

    • Non-compliance with program rules or policies.

    • Unethical conduct or academic dishonesty.

    • Misuse of datasets or resources.

  • Upon termination, access to platforms, mentorship, and program content will be revoked immediately.

14.13 Liability & Warranty

  • OmicsLogic is not liable for technical issues, data loss, or damages resulting from misuse of resources.

14.14 Dispute Resolution & Governing Law

  • Any disputes arising out of or related to the Program will first be attempted to be amicably resolved.

14.15 Amendments

  • OmicsLogic reserves the right to update or modify these Terms and Conditions at any time.

  • Participants will be notified of significant changes via email or the Program portal. Continued participation after notification constitutes acceptance of the revised Terms.

14.16 Acknowledgement

By enrolling in the OmicsLogic Research Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions in full.

15. Organizational and Enterprise Accounts

15.1 Enterprise Services

OmicsLogic offers organizational accounts for enterprises, academic institutions, research organizations, and groups ("Organizational Customers"). Organizational accounts are governed by these Terms and a separate service agreement or statement of work.

15.2 Account Administration

Organizational Customers designate one or more administrators who manage user accounts, assign courses, and access usage and performance data for users within the organization. By joining an Organizational Account, you acknowledge that your administrator and the organization may view your account information, course progress, quiz scores, and other activity data.

15.3 User Obligations

Users accessing Services through an Organizational Account must comply with both these Terms and any additional policies established by their organization. In the event of a conflict, the organization's policies may impose additional restrictions.

15.4 Data Ownership and Control

For Organizational Accounts:

  • The organization retains ownership and control over data uploaded or generated by its users.

  • OmicsLogic processes such data in accordance with the organization's instructions and applicable agreements.

16.2 Integrated Tools and Platforms

We may integrate with third-party bioinformatics tools, cloud platforms (e.g., AWS, Google Cloud), code repositories (e.g., GitHub), or databases (e.g., NCBI, UniProt). Your use of these integrated services may be subject to additional terms, usage limits, and fees imposed by the third-party provider.

16.3 No Warranty for Third-Party Services

We make no warranties or representations regarding third-party services and expressly disclaim any liability arising from your use of such services.

17. Disclaimers and Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, OMICSLOGIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

17.6 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights under local law.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OMICSLOGIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities

  • Loss of or corruption of data or datasets

  • Cost of procurement of substitute goods or services

  • Research delays or failed experiments

  • Damage to professional or academic reputation

  • Any other intangible losses

ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF OMICSLOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 Cap on Total Liability

TO THE EXTENT PERMITTED BY LAW, OMICSLOGIC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO OMICSLOGIC IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

18.3 Exceptions

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

18.4 Basis of the Bargain

You acknowledge that the disclaimers and limitations of liability in Sections 15 and 16 are fundamental elements of the basis of the bargain between you and OmicsLogic, and that OmicsLogic would not be able to provide the Services on an economically reasonable basis without such limitations.

19. Indemnification

19.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless OmicsLogic, its affiliates, and their respective officers, directors, employees, agents, partners, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Services

  • Your User Content or Sensitive Scientific Data uploaded or processed through the Services

  • Your violation of these Terms, any applicable law, or any third-party rights

  • Your infringement of intellectual property, privacy, or other rights

  • Any negligent or wrongful conduct by you

  • Any claim that your User Content caused harm to a third party

19.2 Defense and Settlement

OmicsLogic reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims. You may not settle any claim without OmicsLogic's prior written consent.

20. Data Protection and Privacy

Our collection, use, and processing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.

20.3 Data Security

We implement reasonable administrative, technical, and physical safeguards to protect your data against unauthorized access, loss, misuse, or alteration. However, no security system is impenetrable. You acknowledge that any transmission of data is at your own risk.

20.4 Data Retention

We retain your personal information and User Content as described in our Privacy Policy and as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements.

20.5 Data Portability and Deletion

Upon request and subject to legal and contractual obligations, we will provide you with a copy of your personal data or User Content in a portable format and/or delete your data as described in our Privacy Policy. Contact support@omicslogic.com to exercise these rights.

21. Confidentiality

21.1 Confidential Information

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

21.2 Obligations

The Receiving Party agrees to:

  • Maintain the confidentiality of Confidential Information

  • Use Confidential Information only for the purposes of these Terms

  • Not disclose Confidential Information to third parties except as permitted by these Terms or with prior written consent

  • Protect Confidential Information with at least the same degree of care as it protects its own confidential information (but no less than reasonable care)

21.3 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach by the Receiving Party

  • Was rightfully known to the Receiving Party before disclosure

  • Is independently developed by the Receiving Party without use of Confidential Information

  • Is rightfully received from a third party without confidentiality obligations

21.4 Research Data Confidentiality

User Content, including uploaded datasets and analysis results, is considered your confidential Information. We will not disclose such content to third parties except as required to provide the Services, comply with legal obligations, or with your consent.

22. Term and Termination

22.1 Term

These Terms commence when you first access or use the Services and continue until terminated in accordance with this Section.

22.2 Termination by You

You may terminate your Account at any time by:

  • Canceling your subscription through Account settings

  • Sending a termination request to support@omicslogic.com

  • Ceasing to use the Services

Upon termination, you will lose access to paid features at the end of your current billing period. Free accounts may be terminated immediately.

22.3 Termination by OmicsLogic

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or Additional Terms

  • Fraudulent, abusive, or illegal activity

  • Non-payment of fees

  • Request by law enforcement or government agencies

  • Unexpected technical or security issues

  • Discontinuation or material modification of the Services

22.4 Effect of Termination

Upon termination:

  • Your license to use the Services immediately ceases

  • You must cease all use of the Services and delete any downloaded Course Materials

  • We may delete your Account and User Content (subject to our retention policies and legal obligations)

  • Accrued payment obligations, indemnification, limitation of liability, confidentiality, and other provisions that by their nature should survive will survive termination

22.5 Data Retrieval

If you wish to retrieve your User Content before termination, you should either use the platform's export features or contact support@omicslogic.com. We are not obligated to provide access to data after termination, except as required by law or contract.

23. Modifications to Terms and Services

23.1 Changes to Terms

We reserve the right to modify these Terms at any time.

The "Last Updated" date at the top of these Terms will reflect the effective date of the latest changes. Your continued use of the Services after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and may terminate your Account.

23.2 Changes to Services

We may modify, suspend, or discontinue any aspect of the Services at any time, including features, functionality, content, or availability. We will use reasonable efforts to notify you of material changes, but we are not obligated to maintain or support any particular feature indefinitely.

24. Dispute Resolution and Governing Law

24.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with:

  • the laws of the State of Texas, United States, for users, clients, or transactions originating from the United States or other international jurisdictions; and

  • the laws of India, for users, clients, or transactions originating from India,in each case without regard to conflict of law principles.

24.2 Jurisdiction and Venue

For disputes not subject to arbitration, you agree to the exclusive jurisdiction and venue of the state and federal courts located in India , Houston, Texas, USA, and you waive any objection to such jurisdiction or venue.

24.3 Informal Dispute Resolution

Before initiating formal proceedings, you agree to first contact us at support@omicslogic.com to attempt to resolve the dispute informally. We commit to working in good faith to resolve disputes. Most disputes can be resolved through this process.

24.4 Arbitration Agreement (If Applicable)

IF YOUR ACCOUNT IS SUBJECT TO AN ARBITRATION CLAUSE IN A SEPARATE SERVICE AGREEMENT, THAT ARBITRATION CLAUSE WILL GOVERN. OTHERWISE, THE FOLLOWING APPLIES:

For individual users (not Organizational Accounts), any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in India and Houston, Texas, or remotely by video conference. Judgment on the arbitration award may be entered in any court having jurisdiction.

Exceptions: Either party may bring an action in court for:

  • Intellectual property infringement claims

  • Claims seeking emergency equitable relief (injunctions)

  • Small claims court actions (if eligible)

24.5 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action or class-wide arbitration against OmicsLogic.

24.6 Opt-Out Right

Individual users may opt out of the arbitration agreement within 30 days of first accepting these Terms by sending written notice to support@omicslogic.com with "Arbitration Opt-Out" in the subject line, including your name and account email.

24.7 International Users

If you are accessing the Services from outside the United States and India, you acknowledge that the Services are operated in the United States, India and your data may be transferred to, stored, and processed in the United States and India. By using the Services, you consent to such transfer and processing.

25. General Provisions

25.1 Entire Agreement

These Terms, together with the Privacy Policy and any Additional Terms, constitute the entire agreement between you and OmicsLogic regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

25.2 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign or transfer these Terms or any rights or obligations hereunder without restriction. These Terms bind and benefit each party's permitted successors and assigns.

25.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

25.4 Waiver

Our failure to enforce any provision of these Terms or to exercise any right shall not constitute a waiver of that provision or right. Any waiver must be in writing and signed by OmicsLogic to be effective.

25.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and OmicsLogic. You have no authority to bind OmicsLogic or make commitments on our behalf.

25.6 Force Majeure

OmicsLogic shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, natural disasters, government actions, pandemics, internet or telecommunications failures, or third-party service failures.

Notices are deemed received when sent by email (upon confirmation of delivery) or three (3) business days after mailing.

25.8 Interpretation

Section headings are for convenience only and do not affect interpretation. Use of "including" means "including but not limited to." Any ambiguity in these Terms shall not be construed against the drafting party.

25.9 Electronic Signatures

You consent to the use of electronic signatures, records, and disclosures in connection with these Terms. Electronic signatures have the same legal effect as handwritten signatures.

25.10 Export Compliance

You agree to comply with all applicable export control laws and regulations, including those of the United States and your country of residence. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or export restrictions.

25.11 Government Users

If you are a U.S. government entity, the Services are "commercial items" as defined at 48 C.F.R. §2.101, consisting of "commercial computer software" and "commercial computer software documentation." Government users acquire the Services only with the rights set forth in these Terms.

25.12 Feedback and Testimonials

If you provide testimonials, reviews, or endorsements of the Services, you grant us a perpetual, worldwide, royalty-free license to use your name, likeness, and statements in our marketing materials. We may also feature student projects or case studies with your permission.
